This Privacy Policy governs the relationship between you, as the user of the Website, and the UK Business Angels Association, as the owner of the Website insofar as it relates to personal data. Throughout this Privacy Policy we will refer to you as “you”, and we will refer UK Business Angels Association as “we”, “us” or “UKBAA”.

We are committed to protecting and respecting your privacy. This Privacy Policy (together with our Terms of Service) describes how we collect, use and otherwise process personal data relating to you or that you provide to us:

1. when you visit or use the Website; and/or

2. when you contact us (by email, in person or by telephone), for example to request our news and updates or to submit a query or comment regarding the Website or its content or register to attend one of our events.

 

Please read the following carefully to understand our practices regarding personal data and how we will treat it. If you do not agree with the terms of this Privacy Policy, please do not use the Website.

In this Privacy Policy, the terms “personal data”, “processing”, “data controller” and “data processor” shall have the meaning ascribed to them in the General Data Protection Regulation ((EU) 2016/679).

For the purposes of laws regarding data protection, the data controller is UK Business Angels Association, with registered number 02127064 and registered office address at 5th Floor East, Chancery House, 53-64 Chancery Lane, London, WC2A 1QS.

1. Relationship to Other Agreements

 

In addition to the Terms & Conditions our Privacy Policy applies to you and everyone else who uses the Website. We refer to the Terms of Service and the Privacy Policy as the “Website Agreements”.

During the course of your use of the Website, you may choose to agree to be bound by certain other agreements: for example, if you wish to become a member of the UKBAA, you will need to agree to the relevant Membership Agreement. The Website Agreements will continue to apply to you even after you have agreed to any other agreement.

1. Personal Data We Collect

We collect and process the following personal data relating to you:

• your name, contact details and other information contained in communications you send to us or that you provide to us when you contact us (by email, in person or telephone), for example to request our news and updates or to submit a query or comment regarding the Website or its content;

• if you are an investor we may ask you to provide information about your investment preferences;

• if you are an entrepreneur seeking to raise capital we may ask you for personal information about you in connection with your business for example occupation, experience, shareholding; and

• data from surveys that we may, from time to time, run on the Website for research purposes, if you choose to respond to, or participate in, them.

 

We also collect personal data automatically when you use the Website and when you navigate through the Website. Data collected automatically may include usage details, geo-location data, IP addresses and other data collected through cookies and other tracking technologies. We may supplement the personal data you provide us with information about you that we receive from third parties.

1. Processing and Storing Personal Data

The principal purposes for which we process and store personal data relating to you are:

• To confirm your identity in order to create your account and ensure that you are eligible to use the services provided on the Website.

• To process payments in connection with the services provided on the Website.

• In the case of entrepreneurs seeking capital, to verify and approve the disclosures you make in your campaign to potential investors.

• In the case of investors looking to invest, to confirm that you are eligible to make investments in accordance with relevant legislation.

• To provide you with information about your account.

• To monitor, improve and administer the Website and the services provided on the Website.

• To enable us to conduct surveys and analysis, and aggregate user profiles.

• To provide you with information about our business, and on other selected products and services that we think may be of interest to you, where you have expressly consented to be contacted for such purposes

• To measure, understand, or improve the effectiveness of our services and/or advertising we provide to you and others.

• To enable us to comply with our legal and regulatory obligations, including reporting to regulators and governmental authorities.

• To contact you to ensure customer satisfaction in respect of our role as a website provider and assist you in getting the best value from our service.

• To respond to your queries.

• To notify you about changes to the Website and the materials on the Website.

• To prepare anonymised data sets.

• For any other purposes that you would reasonably expect.

1. Disclosure of Personal Data

 

Any personal data relating to you that is collected by UKBAA or its affiliates will be kept confidential by UKBAA and its affiliates, and we will not disclose it to any third parties. The only exceptions to this are:

• We may disclose certain personal data relating to you to third-party service-providers solely in the course of their provision of services to UKBAA, and you acknowledge and agree that in doing so personal data relating to you may be transferred outside the European Economic Area (“EEA“). We will take precautions (in accordance with relevant guidance by regulatory bodies) to ensure that these service-providers are obligated to keep confidential any personal data relating to you that they use.

• We may disclose certain personal data if we are required to do so by law, regulation or the order of court or other legitimate government body or arbitration panel. This includes, among other things, any personal data relating to you that may be requested by HM Revenue & Customs and the Financial Conduct Authority.

 

We may also disclose personal data to third parties if we are under a duty to disclose or share personal data relating to you in order to comply with any legal obligation, or in order to enforce or apply our Terms of Service and other agreements; or to protect the rights, property, or safety of us, our clients, or others.

Before we disclose personal data to a third party, we take steps to ensure that the third party will protect personal data in accordance with applicable privacy laws and in a manner consistent with this policy. Third parties are required to restrict their use of this personal data to the purpose for which the data was provided.

 

For the avoidance of doubt, we will never sell to third parties personal data relating to you.

1. Changes of Organisational Structure

We may, from time to time, expand, reduce or change the structure of our organisation and this may involve the transfer of certain divisions or the whole organisation to other parties. Personal data relating to you will, where it is relevant to any division so transferred, be transferred along with that division and the new management will, under the terms of this Privacy Policy, be permitted to use personal data relating to you for the purposes for which it was supplied by you.

1. Security of Personal Data

We take all reasonable steps to protect your personal data, including the use of encryption technology. However, we cannot guarantee the security of any personal data you disclose online. In using the Website, you accept the inherent security implications of engaging in transactions online over the internet, and you agree that you will not hold us responsible for any breach of security unless we have been negligent or in wilful default.

If you live in the EU, the personal data relating to you that we collect may be transferred to, and stored at, locations outside the EEA. It may also be processed by staff operating outside the EEA who work for us or for one of our service providers.

As described in this Privacy Policy, we may also share personal data relating to you with third parties who are located overseas, for business purposes and operational, support and continuity purposes, for example, when we use IT service providers or data storage services.

Countries where personal data relating to you may be stored and/or processed, or where recipients of personal data relating to you may be located, may have data protection laws which differ to the data protection laws in your country of residence. By submitting personal data, you accept that personal data relating to you may be processed in this way. We will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with this policy.

1. Use of Cookies

“Cookies” are small files that reside on your computer’s hard drive, generally contain an anonymous unique identifier and are accessible only by the website that placed them there and not any other sites.

 

We may set and access Cookies on your computer. In addition, we may gather certain information about you, including details of your operating system, browser version, domain name and IP address, and the details of any website you linked from to the Website. We do this in order to enable us to provide the services available on the Website and to monitor and improve the Website.

1. Communications between You and Us

 

We may intercept, record and/or monitor any communication(s) (including telephone calls or other electronic communications) between you and us. We may do so in order to resolve queries in the future and for the purposes of ensuring security, staff training and complying with our regulatory and legal responsibilities.

In the case of communications by email you should note that, as emails are not encrypted (and may therefore be intercepted by third parties) and as the identity of the sender cannot be confirmed, you must NOT provide your security details by email and should avoid providing any personal data to us by email.

Data protection laws give you the right to access personal data held relating to you. To protect your privacy, we may take steps to verify your identity before taking any action in response to any request. Any access request may be subject to a small fee to meet our costs in providing you with details of the personal data that we hold relating to you.

You also have the right, in certain circumstances, to:

• the erasure of personal data relating to you that we hold;

• the restriction of processing of personal data relating to you that we hold; and

• object to our processing of personal data relating to you that we hold.

1. Severability

 

If any of the provisions contained in this Privacy Policy are found to be unlawful, invalid or otherwise unenforceable, such provision is to be deemed severed from this Privacy Policy and shall not affect the validity and enforceability of the rest of the Privacy Policy. This clause on “Severability” shall apply only within jurisdictions where a particular term is illegal.

If we fail to exercise any right or remedy contained in this Privacy Policy, that does not mean we have waived that right or remedy and so shall not be construed as a waiver.

From time to time we may update this Privacy Policy to take account of changes in the law or for any other reason. If we update this Privacy Policy, we will post a new version on the Website, and as soon as you use the Website after they are posted, you will be deemed to have agreed to the updated version, but you will still be bound by the terms of any previous versions. 1. Choice of Law and Jurisdiction

 

This Privacy Policy shall be governed by and construed in accordance with English law.

You agree to submit to the exclusive jurisdiction of the courts of England. This means that if you want to bring a legal action against us, or we want to bring a legal action against you, it must be done in one of these courts.

1. Definitions

 

We have used a few capitalised terms in this agreement, which means that they have specific definitions. In some cases the definition is set out when they are first used, but in a few cases we give the meaning below instead.

• Terms & Conditions means the terms of service of the Website; and

• Website means the website that you are currently using www.ukbaa.org.uk and any sub-domains of this site unless expressly excluded by their own terms and conditions.
